ADANI POWER TO LAUNCH ITS IPO

Adani Power Limited (APL), a member of 4.6 Billion US Dollar Adani Group, has taken up implementation of Mega Thermal Power Projects at various locations in India in view of the growing needs of Power requirements in the country. APL propose to implement 2640 MW Coal based Thermal Power Project at Mundra, Dist. Kutch, Gujarat, India. APL also propose to implement 1320 MW Coal based Thermal Power Project at Tiroda, Gondia, Maharashtra through its 100% subsidiary, Adani Power Maharashtra Ltd. (APML) APL is also actively planning to implement other Thermal Power Stations at various locations in India, totaling to about 10000 MW in the coming years. APL is engaged in the Power Trading business across the country and also aiming to enter into Power Transmission in a big way. Please visit the website of the company at http://www.adanipower.com/ for more information.
Business of Adani Power Limited
Adani Power Limited will be in the business of developing, operating and maintaining power projects in India. It is part of the Adani Enterprise Limited, which is a large Indian conglomerate with revenues of over Rs.196,097.10 million in fiscal 2008. The parent company is one of the three largest coal traders in India and the largest power trading company in India (in the last three years).
The group has presence in:
i)Coal Mining ( ii) Coal Trading (iii) Shipping (iv)Power Generation (v)Power Transmission (vi)Power Trading (vii)Owning and Operating a SEZ
Adani Power Limited has four thermal power plants also viz
1. Mundra Phase 1 & 2 with a capacity of 1,320 MW. Both phases are split into sub - generation of 330 MW each. The first phase of 330 MW each are expected to get commissioned by June 2009 and the full project is expected to get commissioned by Feb 2010.
2. Mundra Phase 3 with a capacity of 1,320 MW, out of which 660 MW will be commissioned in Jan 2011 and the remaining by June 2011.
3. Mundra Phase 4 project with a capacity of 1,980 MW, out of which 660 MW will be commissioned by Aug 2011 and the remaining by April 2012.
4. Tiroda Power Project with a capacity of 1,980 MW, out of which 660 MW will be commissioned by July 2011 and the remaining by April 2012.
The company has applied for sector specific SEZ approvals for all its coal projects. If granted, this will give them substantial tax advantages.
Since Adani Power is part of the Adani group which is a major coal producer and trader — it will benefit in terms of obtaining raw materials in a timely and secured fashion.
Since the Adani Power is located in the western region and it has got a locational advantage; both in terms of sourcing as well as distribution. The power plants are located in the rapidly industrializing areas of Maharashtra and Gujarat and will benefit from the growth of these states.
India faces acute power shortage and with the deregulation in the power sector — there are plenty of opportunities up for grabs for private sector players. According to CERC the power shortage at Dec 2008 was 15,175 MW and so the company exists in a sector which is set for growth and has inherent demand.
Key Risks Facing Adani Power Limited
1. No Operating History: Adani Power has no current operational power projects or any other revenue generating activity that can provide a basis for evaluating its business.
2. Long Gestation Period: Power projects have a long gestation period and Adani Power will take a long time to get into the positive cash flow generating territory.
3. Significant Indebtedness: Adani Power has assumed significant debts to the tune of Rs.49,919.04 million and this increases its vulnerability to downwards economic conditions. Since the company has so much debt already — it limits Adani Power’s ability to raise more cash in the future if required.
4. Potential Promoter Conflict of Interest: Adani Power will rely heavily on its promoters to provide it financial know - how and access to key personnel. Since, some promoter group companies operate in the same business areas — this poses potential conflict of interest.
Objectives of the Adani Power IPO
Adani Power is getting in the IPO to raise funds primarily for the following:
1. Finance the Mundra Phase IV 1980 MW Power Project partly
2. Fund the subsidiary that will engage in the construction and development of the 1980 MW Tiroda Power Project.
Adani Power Limited is proposing, subject to market conditions and other considerations, an initial public offering ("IPO") of its equity shares and has filed a Red Herring Prospectus ("RHP") with the Registrar of Companies. The RHP is available on the website of Securities and Exchange Board of India ("SEBI") at

MOST BASIC QUESTION! HOW COMPANY BENEFITTED WITH THE RISE IN ITS SHARE PRICE?

Companies sell shares in an IPO in order to raise capital. That capital is used to invest in the business and that is how the business makes profits. Not from the sale of shares, but from reinvesting the proceeds from the sale of shares into the company. After the IPO the shares are bought and sold between shareholders on the market. They are merely buying and selling pieces of the company between each other. And these bshareholders are only buying and selling a small parts of the company and not the entire business. That money is not reinvested in the business. It stays between the buyers and sellers. Now is there any beneift for company when share prices goes up in sharemarket ? The answer is the cpmany doesnot benefit directly.
But when a company brings IPO, not all shares are publicly traded. Most important point to check out is no of shares company float and to see how much of the companies shares outstanding it actually traded.
The companies after launching of IPO can sell more shares to dilute the current stock to raise capital. If the company needs more money and their stock is worth 100 bucks, they can easily raise capital by diluting the stock.
Therefore, the Rising stock prices do not put money in the hands of the company. They do increase the wealth of the owners of the company, which are the stockholders. Companies operate with the goal of maximizing the wealth of the owners, thus they have an interest in the price of the stock.
Also, employees and especially executives of the company tend to be stockholders, which means they have a personal interest in increasing the value of the company as measured by the stock price. Hence Companies operate with the goal of maximizing the wealth of the owners, thus they have an interest in the price of the stock. Also, employees and especially executives of the company tend to be stockholders, which means they have a personal interest in increasing the value of the company as measured by the stock price.
A higher stock price means the market value of the company is higher, which can have a positive impact on things like credit rating, company profile, market share, employee recruiting, etc

DO KNOW YOU TODAY( the 7th july 09) IS GURUPURNIMA

गुरुर्ब्रह्मा गुरुर्विष्णुः गुरुर्देवो महेश्‍वरः ।

गुरु साक्षात्‌ परब्रह्म तस्मै श्रीगुरुवे नमः ॥

“Guru is creator Brahma; Guru is preserver Vishnu; Guru is also the destroyer Siva and he is the source of the Absolute. I offer all my salutations to the Guru”.

The full moon day in the Hindu month of Ashad (July-August) is observed as the auspicious day of Guru Purnima, a day sacred to the memory of the great sage Vyasa. The day is celebrated as a mark of respect to the “Guru” i.e. a teacher or a preacher. All Hindus are indebted to this ancient saint who edited the four Vedas, wrote the 18 Puranas, the Mahabharata and the Srimad Bhagavata. Vyasa even taught Dattatreya, who is regarded as the Guru of Gurus. The day, also known as “Vyasa Purnima” is observed by devotees who offer pujas (worship) to their beloved Gurus. Sage Vyasa is known to be the Adi (original) Guru of the Hindu religion.Sri Vyasa has done cherised service to humanity by editing the four Vedas, writing the eighteen Puranas, the Mahabharata and the Srimad Bhagavata. In honour of this divine personage, all spiritual aspirants and devotees perform Vyasa Puja on this day,of their respective spiritual preceptor or 'Gurudevs'. and disciples worship their spiritual preceptor.

Hindus show much respect to their gurus. Gurus are often regarded as God. The Shvetashvatara Upanishad tells :“Yasya deve para bhaktir yatha deve tatha gurauTasyaite kathitaa hi arthaaha prakashante mahatmanaha”.

This means, Guru to be worshipped in the same manner as the deity - God, to attain all there is to attain on the path of God-realization. When this Self is within you where is the need to search for someone to teach you!

The best form of worship of the Guru is to follow his teachings, to shine as the very embodiment of his teachings, and to propagate his gloryand his message.

Guru is Brahman, the Absolute, or God Himself. He guides and inspires you from the innermost core of your being. He is everywhere.
